When Vetiva Advisory Services Limited steps up as Lead Adviser to execute the ₦2.15 trillion Initial Public Offering of Dangote Petroleum Refinery and Petrochemicals FZE, it is not merely managing a share sale—it is executing a massive corporate balance-sheet refinancing exercise.
Built at an estimated cost of $20 billion through a heavily leveraged combination of commercial bank syndicates, bilateral development finance, and export credit agencies, the refinery is using this equity transaction to transition from construction-phase debt to public-market equity capital.
The injection of ₦2.15 trillion in new equity capital directly lowers the company's debt-service coverage pressure, unlocking operational cash flows for its ambitious phase-two expansion toward 1.4 million barrels per day.
From a corporate finance perspective, Vetiva’s deal structuring solves a major macroeconomic dilemma: allowing a mega-scale domestic infrastructure asset to raise deep local-currency equity while generating hard-currency operational cash flows. By admitting 120.13 billion ordinary shares to the Daily Official List of the NGX, Vetiva creates a deep secondary market mechanism that validates a $47 billion valuation framework, establishing a new pricing benchmark for future African industrial transactions.
